PLEASE READ THESE TERMS (“TERMS”) CAREFULLY BEFORE USING THE SERVICES OFFERED BY Trillage LLC (“Trillage”), a Texas S Corporation. BY MUTUALLY EXECUTING ONE OR MORE ORDER FORMS WITH TRILLAGE, WHICH REFERENCE THESE TERMS (EACH, AN “ORDER FORM”), YOU, THE CUSTOMER (“CUSTOMER”), AGREE TO BE BOUND BY THESE TERMS. THIS CONSTITUTES THE ENTIRE AGREEMENT (THE “AGREEMENT”) BETWEEN TRILLAGE AND THE CUSTOMER TO THE EXCLUSION OF ALL OTHER TERMS.

IN ADDITION, ANY ONLINE ORDER FORM THAT YOU SUBMIT VIA TRILLAGE’S STANDARD ONLINE PROCESS, AND WHICH IS ACCEPTED BY TRILLAGE, SHALL BE DEEMED TO BE MUTUALLY EXECUTED. THE TERMS OF THIS AGREEMENT REPRESENT A BINDING CONTRACT BETWEEN TRILLAGE AND THE USER, AND BY ENGAGING WITH OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS. IF THE TERMS OF THIS AGREEMENT ARE CONSIDERED AN OFFER, ACCEPTANCE IS EXPRESSLY LIMITED TO THESE TERMS.

Introduction

Welcome to Trillage LLC (“Trillage”), a Texas S Corporation. These General Terms of Service (“Terms”) apply to all users of the Trillage platform, including Parent Teacher Associations and other small organizations (Section A), Business Users (Section B), and Community Members (Section C). These Terms govern your access to and use of our services.

  • User Accounts
    • Account Creation: Users must register for an account to access Trillage services. The account setup will vary based on the user type as detailed in the respective sections.
    • Account Responsibilities: Users are responsible for maintaining the confidentiality of their account information and are liable for all activities under their account.
  • Service Use Guidelines
    • All users must use the Trillage services responsibly and legally. Prohibited activities include, but are not limited to, engaging in illegal activities, infringing upon intellectual property rights, and participating in fraudulent or harmful conduct.
  • Privacy Policy
    • Trillage is committed to protecting your privacy. Our Privacy Policy outlines how we collect, use, and share your information. By agreeing to these Terms, you consent to our data practices as described in the Privacy Policy
  • Intellectual Property Rights
    • The intellectual property rights in all software, trademarks, logos, and content made available to you on or through this Site remain the property of Trillage or its licensors and are protected by copyright laws and treaties around the world. Use of the trademarks, logos, or any other part of the content without express written permission from Trillage is strictly prohibited. All such rights are reserved by Trillage and its licensors.
  • Warranties and Disclaimers
    • Trillage services are provided “as is” without any warranties, express or implied. Trillage disclaims all warranties to the extent permitted by law.
  • Limited Liability
    • To the extent permitted by law, Trillage’s total liability for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the services during the twelve months before the claim arose. In no event will Trillage be liable for any indirect, incidental, punitive, or consequential damages of any kind, or any damages whatsoever arising out of or related to your use of the site or services.
  • Indemnification
    • You agree to indemnify, defend, and hold harmless Trillage, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these terms and conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the site using your Internet account.
  • Termination of Service
    • Trillage reserves the right to terminate or suspend user accounts and access to the services for any breach of these Terms.
  • Changes to Terms
    • Trillage may modify these Terms at any time. Continued use of the services after changes indicates acceptance of the new Terms
  • Governing Law
    • These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles.
  • Dispute Resolution
    • In the event of any dispute, claim, question, or disagreement arising from or relating to these terms and conditions or the breach thereof, the parties hereto shall first endeavor to settle the dispute, claim, question, or disagreement through non-binding mediation. If the matter is not resolved through mediation within a reasonable timeframe, then the dispute shall be resolved by binding arbitration, pursuant to its rules. The arbitration shall be conducted in Texas, and the decision of the arbitrator shall be final and binding on all parties.

Account type specific Terms & Conditions

Section A: Fundraising for PTAs and Small Organizations

  • Fundraising Platform Services
    • Trillage LLC offers a specialized fundraising platform catered to Parent Teacher Associations (PTAs) and other small organizations (collectively referred to as “Organizations”). This platform facilitates fundraising through two primary channels: subscriptions and direct donations.
  • Subscription-Based Fundraising
    • Subscription Model: Community members can subscribe to the Trillage platform to support the Organizations. By participating in this subscription-based fundraising, the subscribing members acknowledge that a portion of their subscription fees will be allocated to the supported Organization
    • Revenue Split: The subscription revenue generated through this model will be distributed as follows: 60% of the subscription fees will be allocated to the Organization, and 40% will be retained by Trillage. This revenue split is subject to change at Trillage’s discretion, with adequate notice provided to the Organizations.
  • Direct Donations
    • Donation Mechanism: In addition to subscription-based support, Trillage allows community members to make direct donations to the Organizations through the platform.
    • Allocation of Donations: 100% of the funds received as direct donations will be allocated to the chosen Organization. Trillage will not deduct any fees or percentages from direct donations.
  • Use of Funds
    • Organizations are responsible for the appropriate utilization of funds received through Trillage’s platform. They must ensure that these funds are used in a manner consistent with their stated goals and objectives and comply with all relevant laws and regulations.
  • Reporting and Transparency
    • Trillage is committed to maintaining transparency in the fundraising process. Regular reports detailing the amounts raised through subscriptions and direct donations will be provided to the Organizations. These reports will include a breakdown of funds allocated to each Organization and any applicable fees deducted by Trillage.
  • Agreement to Terms
    • By utilizing the fundraising services provided by Trillage, Organizations agree to abide by the terms outlined in this section, along with the general Terms of Service of Trillage LLC. Any deviation from these terms may result in the suspension or termination of fundraising services.
  • Communication with Users
    • Upon registering with Trillage LLC, all users will receive a confirmation email and initial communication pertaining to their specific user type (Organizations, Business Users, or Community Members). This communication will include important information about their account, services available to them, and how to navigate the Trillage platform.
    • Users can expect to receive ongoing communications from Trillage, which may include:
      • Updates and Announcements: Information about updates to our services, new features, or other significant announcements relevant to your user experience.
      • Newsletters and Promotional Emails: Periodic newsletters and emails containing promotional content, special offers, or information about partnerships that may be of interest to our users.
      • Service Notifications: Essential service-related notifications, including maintenance updates, security alerts, or changes to our Terms and Conditions or Privacy Policy.
    • Users will have the ability to manage their communication preferences through their account settings. This includes the option to opt-in or opt-out of different types of non-essential communications, such as newsletters and promotional emails.
    • Certain communications considered essential for the operation of your account and use of the Trillage services, such as service notifications, updates to Terms and Conditions, Privacy Policy, and security alerts, cannot be opted out of. Users will automatically receive these communications as part of their Trillage membership.
    • For any queries, support requests, or issues, users can contact Trillage’s user support through the contact details provided on our platform or emailing community@trillage.io. Our support team is committed to assisting users with any needs or concerns they might have.
  • Termination of Service
    • Trillage reserves the right to terminate or suspend user accounts and access to the services for any breach of these Terms.

Section B: Terms for Business Users

  • Introduction to Business User Participation
    • Trillage LLC offers a unique opportunity for businesses (“Business Users”) to engage with the Trillage community by providing exclusive promotions and discounts. This section outlines the terms and conditions for Business Users participating in this program.
  • Offering Promotions and Discounts
    • Active Promotion Requirement: Business Users are required to maintain at least one active coupon or discount offer (“Promotion”) on their Trillage account at all times. This ensures a continuous and valuable engagement with the Trillage community.
    • Exclusivity of Deals: Each Promotion offered by Business Users must be exclusive to the Trillage platform. This exclusivity ensures unique value to Trillage community members.
  • Business Verification
    • Verification Process: Prior to having their Promotions go live on the Trillage platform, Business Users must undergo and pass a verification process. This process is designed to ensure the authenticity and reliability of the businesses and their offers.
    • Requirement for Approval: Business Users agree to provide necessary information and cooperate during the verification process. Only upon successful verification will Promotions be made live on the platform.
  • Conduct and Content Guidelines
    • Appropriate Conduct: Business Users must conduct themselves in a professional and ethical manner while interacting with the Trillage community. This includes adherence to all applicable laws and regulations.
    • Prohibited Content: Business Users must ensure that no inappropriate conduct, language, or imagery is associated with their Promotions. Trillage prohibits content that is offensive, discriminatory, unlawful, or in any way harmful.
    • Enforcement and Penalties: Violation of these conduct and content guidelines may result in immediate removal of Promotions, suspension, or termination of the Business User’s account and/or legal action
  • Agreement to Terms
    • By participating as a Business User on the Trillage platform, you agree to abide by these terms, in addition to the overarching Terms of Service of Trillage LLC. Trillage reserves the right to modify these terms as necessary and will communicate any changes to registered Business Users.
  • Communication with Users
    • Upon registering with Trillage LLC, all users will receive a confirmation email and initial communication pertaining to their specific user type (Organizations, Business Users, or Community Members). This communication will include important information about their account, services available to them, and how to navigate the Trillage platform.
    • Users can expect to receive ongoing communications from Trillage, which may include:
      • Updates and Announcements: Information about updates to our services, new features, or other significant announcements relevant to your user experience.
      • Newsletters and Promotional Emails: Periodic newsletters and emails containing promotional content, special offers, or information about partnerships that may be of interest to our users.

Section C: Terms for Community Members

  • Subscription to Trillage Services
    • Subscription Model: Community members (“Members”) can subscribe to Trillage services on either a monthly or annual basis. This subscription grants Members access to the exclusive network of deals and promotions offered by Trillage’s business partners.
    • Fees: The subscription fee is determined at the time of subscription and is subject to change. Members will be notified of any changes in subscription fees in advance
  • No Refund Policy
    • Policy Details: Trillage operates on a strict no-refund policy. Once a subscription fee is paid, it is non-refundable regardless of the usage or satisfaction level of the Member. We will not ask the school to return money from donations.
  • Cancellation of Subscription
    • Cancellation by Member: Members have the right to cancel their subscription at any time. Cancellation can be done through the Member’s account settings on the Trillage platform.
    • Effect of Cancellation: Upon cancellation, the Member will not be charged any future subscription fees, but any fees already paid will not be refunded. Access to exclusive deals and promotions will continue until the end of the current subscription period.
  • Data Sharing with Business Partners
    • Scope of Data Sharing: In order to facilitate the redemption of promotions and enhance the service experience, Trillage may share certain information of Members with business partners at locations where promotions are redeemed.
    • Type of Data Shared: The shared information may include the Member’s name, redemption history, email address, and other relevant details necessary for the validation of promotions and offers.
    • Privacy and Security: Trillage is committed to protecting the privacy and security of Member information. Data sharing will be conducted in accordance with Trillage’s Privacy Policy and applicable data protection laws.
  • Agreement to Terms
    • By subscribing to Trillage services, Members agree to be bound by these terms, along with the general Terms of Service of Trillage LLC. Trillage reserves the right to modify these terms, and any such changes will be communicated to the Members.
